It's that roll up the sleeves and dig-in mentality that keep us on target from acquisition to divestiture, and its in that spirit that we're seeking an experienced General Counsel to head our legal department. This extremely hands-on position is responsible to:
-Work closely with BOD, CEO and CFO in an increasingly fast paced, demanding environment.
-Perform all common functions of corporate general counsel.
-Set up and manage legal department and staff when hired.
-Assist deal teams with legal due diligence on targeted/acquired companies.
-Serve on the external consulting team as needed; 10%-15% travel likely.
-Assist with investor relations as needed.
-Work with external auditors, CPAs and attorneys.
-Prepare periodic internal reports.
-File governmental registrations and reports.
-Develop and maintain departmental budget.
-Other legal and administration duties as assigned.
-Remain flexible with a 'can-do' attitude.

The successful candidate will additionally have: 5
years of direct experience as a mid-to-senior level corporate lawyer working in or with private equity, investment banking or closely related companies or departments; be well versed in securities law/regulations and corporate governance; have transactional experience in M&A, public capital markets, private capital sourcing, and fund formation/administration; hold a JD from a top 20 law school or top ranked Christian law school; and be admitted to practice law in Colorado.Estimated Salary: $20 to $28 per hour based on qualifications.
